Purchaser agrees to indemnify and hold Merv E. Hilpipre Auction Company and Associates, and all Seller and Associates, harmless from any and all claims, damages, or losses of any kind, arising from the sale or use of the goods sold here under. Further, Purchaser agrees to indemnify and hold Merv E. Hilpipre Auction Company and Associates, and all Seller and Associates, and Webcast Providers and Associates, harmless from any and all bidders’ chosen technology devices they use for webcast bidding. Including but not limited to service disconnection, time delay, non-compliant software, unable to access, etc.

Purchaser further agrees to pay for all purchases day of auction: Further agrees to pay a Buyers Premium of 18% applies for all webcast purchases.

All descriptions, machine specifications and serial numbers, etc., are believed to be correct but are used only as a guide and are not guaranteed.

Announcements made day of auction supersede previous announcements.


TERMS & CONDITIONS OF SALE
1. The Auctioneer will announce whether the auction is with or without reserve. All rights of the auctioneer and the purchaser shall be in force depending on the type of auction. Announcements made during the sale supersede any previous announcements whether spoken or printed. Any persons selling or consigning items to the sale shall not bid on said items or is not allowed to have an associate or agent bid for them.

2. Any person desiring to procure any and all bids shall register with the Auction Co. Registering will consist of providing all necessary information asked by the Auction Co. All person registering guarantee provided information to be accurate and warrants that he is authorized to bid on behalf of the firm or party represented. Auctioneers or Auction Co. reserve the right to refuse any applicant a bidding card and may revoke such privilege at any time.

3. All purchases must be settled in full the day of the sale and shall be removed from the premises within the time specified by the auctioneer. Payment shall be in the form of cash, cashier checks, credit cards which will have an additional fee, or checks. Checks must be accompanied by a bank letter of credit guaranteeing the check. Auctioneers or Auction Co. will have the sole right to determine if a person does not need to provide a letter of credit or if payment may be delayed. By bidding on items in the auction buyer represents to Auctioneers that he is financially solvent and all checks issued by buyer will be honored. A dishonored check is conclusive buyer insolvent and entitles auctioneer to remedies available under applicable laws.

4. All goods will be put in lots and will be sold to the highest bidder for cash. The record kept by the clerk of sale together with the marked catalog of the Auctioneer shall in all cases be accepted by the buyers as final when questions arise as to the price for which lots have been sold.

5. Auctioneers reserve the sole right to change the order of the sale, the size of the lots, the addition or subtraction of a lot number. Auctioneers will have the sole right to determine the bidding increment. In the event of a buyers’ dispute or tie bid, the Auctioneer has the sole right to either open up the bidding for continued advancement or strike the goods sold. Auctioneers reserve the right to refuse any bid which they consider to be insignificant advance over the preceding bid.

6. Any errors in accounting toward purchasers bill will be corrected according to the actual facts. Purchaser agrees to pay what is owed. Purchaser shall not be entitled to possession of any of his purchases until total purchase price of all his items have been paid in full. In the event purchaser fails to pay the full purchase price of any lot within the prescribed time or fails to compile with any terms of sale Auctioneers shall have retained a possessory lien on all lots of purchaser and at their sole discretion have the right to resell such lots by public or private sale without notice of any kind to purchaser.

7. Any printed literature given to purchasers such as a buyers catalog shall only act as a guide. If Auctioneers express opinion to condition or merchantability, and what price should be paid. No sale shall be invalidated by reason of any defect or inaccuracy in any of the lots by reason of their being inaccurately described in this listing catalog or elsewhere, no liability shall be born by Auctioneer in the respect of any such faults or errors.

8. Purchaser acknowledges and agrees that all good have been available prior to sale time and that he is purchasing all goods with all defects. DO NOT BID UNLESS YOU HAVE DETERMINED TO THE CONDITION OF TO THE LOT FROM YOUR OWN EXAMINATION. Buyer acknowledges sole responsibility and assumes the risk that a lot after it has been inspected might change. Auctioneer will sell lot(s) as it exists at time sold, as is, where is, with no warranties whether implied or expressed. Any and all warranties or guarantees will be between the buyer and seller only.

8. The auction sale sight shall include any location which a lot is located for display and or removal as well as where the actual bid calling in conducted. Auction sales site are considered potentially dangerous places and immediately upon registration if not before purchaser shall so notify agents, servants, and employees and others accompanying him.

9. All claims or disputes must be settled on the day of the sale at the sale site. No claims will be allowed after the removal of goods.

10. Appropriate taxes will apply. Tax exemptions accepted if purchaser produces proper documentation of their exemptions.

REMOVAL TERMS
1. Purchaser will be responsible for complete removal of all goods purchased. Cost of removal will be the responsibility of the purchaser.

2. Auctioneer reserves the right to require proof of adequate insurance coverage from any buyer of lots requiring dismantling, rigging, or hot cutting.

3. Any damage caused to real property or other goods caused by the purchaser or his agents, the purchaser agrees to cover all damages both to the property and legal. Purchaser agrees to indemnify and hold harmless the Auction Co., Auctioneers, their agents, any and all sellers from and against any damage to property or injury to person or loss of life occasioned directly by the act or acts of buyer or buyer’s representative, agent, or employees in connection with the dismantling or removal of any lot or any other action resulting from the attendance of the purchaser to this sale.

4. In the event that the purchaser fails to remove any such lot or part thereof within said period, the Auctioneer or his designees shall have the right but shall be under no obligation to do so either in the name if the Auctioneer or other seller or the purchaser to remove, store, abandon, discard, sell or otherwise dispose of each of any part of lot bid in or purchased at the expense and risk of the purchaser without waiving any other rights that the auctioneer or other seller may have against the purchaser.

5. The purchaser shall be and shall continue to be liable for all lose, expense, and damage directly sustained by the auctioneer or seller by reason of the failure of the purchaser to comply with the foregoing condition.

PAYMENT: US FUNDS ONLY - Cash, Casheir check, Wire Transfer, Credit Card with additional fee.

Buyers Premium Applies for webcast purchases of 18% applies

PAYING FOR PURCHASES:
a. Your invoice must be paid for by Monday, March 30, by 1:00 am.
b. Best form of payment will be Wire Transfer. Please email sue@hilpipre.com asking to receive the wire instructions.
c. Next best form of payment will be cashier check. This can be sent overnight Fed Ex, UPS, or US Postal Service to our office. Payable to Hilpipre Auction Co. and mailed overnight to the address of 2862 Wagner Rd, Waterloo, IA 50703.
d. We will accept credit cards with an additional 3% handling fee.
e. PLEASE EMAIL how you be paying to sue@hilpipre.com. We must receive notice how you are paying by Friday, March 27, 2020 by 1:00 am. If we do not hear from you, we will automatically charge your card your credit on file adding the additional 3% handling fee.

f. IF YOU CHOOSE to make a payment in person please adhere to these procedures.
i. Payment to be made only at Hilpipre Auction Co. facility. Located at 2862 Wagner Rd., Waterloo, Iowa
ii. Payment to be Cash or Cashier Check. We will only accept a Company check if it is accompanied with a Letter of Credit from your bank stating you are in good standing and the bank would honor your check.
1. If you have an excellent standing with the auction company we will not need the letter of credit. You will be able to write a company check.
iii. NO in person payments accepted on Thursday, March 26.
iv. We will begin accepting in person payments on:
1. Friday, March 27, 8:00 am to 4:00 pm
2. Saturday, March 28: 9:00 am to Noon
3. CLOSED on SUNDAY.
4. Monday, March 30: 8:00 am to 4:00 pm.
5. All in person payments must be finalized by 4:00 pm Monday, March 30.

v. When arriving, the facility of Hilpipre Auction Co., to make payment.
1. Park on the south of the building. Do not enter building without permission.
2. Stay in your car and call our phone number – 319-235-6007.
3. We will let you know if you can enter the facility or if you need to wait in your vehicle.
4. Once allowed to enter the building you will come to the window to make payment.
5. Once payment is made then you will schedule your pickup day and time.
6. You must have a paid invoice when picking up your items at your scheduled time. See the complete pickup procedures below.

g. NO PAYMENTS to be made at the auction site of 2920 Janet Dr., Waterloo, IA.
You cannot make any payments at that auction site.

h. No items can be removed from the facility until we receive full payment and a schedule appointment has been made.




Additional terms for credit card charges:
There is a NO CHARGEBACK PROVISION. Bidder / Buyer agrees he/she will not, under any circumstances, initiate a chargeback; waiving such rights that may exist under the agreement between the bidder/buyer and credit card companies. The buyer/bidder further agrees should a chargeback be initiated, the bidder/buyer terms and conditions will be conclusive evidence of the bidder’s waiver if a chargeback is successful, the buyer remains liable for the purchase price, plus cost of collection, including attorneys’ fee.
 
Checkout Information
Buyer assumes all risk of loss at the time of the item is sold. The relationship between the Auction Co. and buyer is not bailment. All Merchandise is sold as is! Where is! No warranties are in effect!!

Remove all items per the directed removal dates.

RIGGING: The rigger will be BW Contractors, Brett Wrage, Ph: 319-987-2070.  S
a. See the pdf document listing the rigging prices of the equipment lots. 
b. A Certificate of Liability for the amount of $2,000,000 must be emailed to the auction company prior to allowing buyer to load their own equipment. This must be emailed prior to scheduling a pickup appointment.

PACKAGING AND SHIPPING: Anyone needing to have their items packaged and shipped.
a. The buyers is fully responsible for all fees associated with packaging and shipping charges.
i. The Auction Co. has a packaging / shipping preparation charge of $40/hour.
ii. For the small tool items. Items weighing under 150 lbs., The Auction Company can package and prepare for shipping. However, it is best for the buyer to schedule the freight company they would like to have pickup the shipment. The buyer must pay for all shipping charges.
iii. If the Auction Co. is asked to schedule a pickup from a freight company it will be the discretion of the auction company on what service is used. In most cases it is UPS or Federal Express. The buyer must pay for all shipping charges.
iv. NOTE: If a Crate/skid, strapping must be made. The Buyer must pay the full cost of the crate/skid, strapping.


 
Removal Information
DUE TO FEDERAL COVID-19 regulations.    FOR CHECKOUT: There will be restrictions on entrance into the building.  All purchasers must make an appointment to pickup their items.  Purchaser must pay for all purchases before a pickup appointment will be scheduled


REMOVAL DATES and Order of item pickup:
a. NOTE: We must first make appointments for those who purchased any of the small table like items (tools, etc), the office furniture, and other general small shop support items. The equipment requiring rigging and more time to load will be scheduled after the small items are removed.
b. All items are located at the Saturn Tool & Die auction site of 2920 Janet Dr., Waterloo, IA.
c. No Saturday or Sundays.
d. The scheduled dates to remove the small items will be: Pickup times of: 8:00 am to 4:30 pm.
i. Monday, March 30.
ii. Tuesday, March 31.
iii. Wednesday, April 1
iv. Thursday, April 2.
v. Friday, April 3. This is the last pickup date for these like items.
e. The scheduled dates to pickup equipment and items needing extra loading time. Pickup times to be: 8:00 am to 4:00 pm. NO Saturdays or Sundays.
i. Monday, April 6
ii. Tuesday, April 7
iii. Wednesday, April 8
iv. Thursday, April 9
v. Friday, April 10
vi. Monday, April 13
vii. Tuesday, April 14
viii. Wednesday, April 15
ix. Thursday, April 16
x. Friday, April 17 – all items must be removed.



PROCEDURES FOR SCHEDULING PICKUP:
  1. Hilpipre Auction Co. (Auction Co.) to email purchaser invoice.
  2. Purchaser notifies Auction Co. how they will be paying. CC, wire transfer, or cashiers check by overnight Fed Ex or UPS or USPS -  to Auction Co.  2862 Wagner Rd, Waterloo, IA 50703
  3. Purchaser receives paid invoice. This invoice must be presented at time of pickup.
  4. Purchaser calls Auction Co. to schedule pickup.
  5. Purchaser to pick-up item as scheduled. Purchaser is limited to one additional person to help remove their purchases. If more are needed further arrangements must be made. If you miss your scheduled time you will have to reschedule.
  6. Upon arrival read the sign in door stating “Permission to enter” you may enter to pick up your item/s. If sign posted states “No permission to enter”. Please wait in your vehicle until sign is posted ready for entrance.

All items must be removed by Friday, April 17, 2020, 4:00 pm

Purchaser is responsible for arranging pickup, transporting, and/or rigging and shipping of items.

Purchaser is solely responsible for all fees associated with the removal and delivery of their items. If rigging is required, and/or if a carrier is required, the buyer must make all arrangements and pay all fees.

Other buyer fee responsibilities:
If Auction Co. has to prepare items for shipping there will be a $40 per/hour fee. Also, any additional fees, including but not limited to shipping charges, packing supplies, crates, forklifts usage, etc.

Note: For loading, the seller could access additional loading fees.
